New York HOA & Condominium Law
13 active New York statutes govern homeowners associations and condominiums in the state. The corpus encodes 20 specific requirements across governance, finance, reserves, disclosure, and enforcement.
Estoppel Disclosure Workflow
13 standard items
NY
CommunityPay has not verified a state-specific statutory resale certificate regime in New York. Disclosure follows a non-statutory estoppel workflow. The 13 items below reflect standard title company and lender expectations, not legal requirements specific to any particular association.
- Current periodic assessment amount and any unpaid or delinquent assessments
- Pending or approved special assessments
- Reserve fund balance and designated projects
- Most recent balance sheet and income/expense statement
- Current operating budget
- Insurance coverage provided for the benefit of owners
- Pending lawsuits, unsatisfied judgments, or threatened litigation
- Board composition, meeting frequency, and governance status
- Declaration, bylaws, and rules and regulations
- Capital expenditures approved or anticipated for current and next two fiscal years
- Transfer fees, move-in/move-out fees, or other charges upon sale
- Known violations of the governing documents or applicable codes
- Right of first refusal or other restraints on transfer
New York does not cap RC preparation fees by statute.
In CommunityPay, an association's manager, accounting firm, or staff generates the certificate from its books, with no per-certificate charge from CommunityPay.
What New York Law Requires
Governance (4)
- New York condos live under Article 9-B of the Real Property Law. Co-ops are a different legal animal — corporations under the Business Corporation Law. N.Y. Real Prop. Law §339-d
- New York condo boards are elected under the by-laws with staggered terms — at least a third of the seats turn over every year. N.Y. Real Prop. Law §339-v 1(a)
- Co-op annual meeting notices follow the corporate rule — at least ten days, at most sixty. N.Y. Bus. Corp. Law §605 (a)
- Co-op board members are held to the corporate standard — good faith plus ordinary prudence. N.Y. Bus. Corp. Law §717 (a)
Financial (1)
- Co-op flip taxes are legal in New York — as long as they are written into the proprietary lease, occupancy agreement, or offering plan (or a properly approved amendment). N.Y. Bus. Corp. Law §501 (c)
Assessment (4)
- Unlike most states, a New York condo lien must be FILED to take effect — and it expires after six years if not enforced. N.Y. Real Prop. Law §339-aa
- If a landlord-owner stops paying common charges, the building can collect the tenant's rent directly until the arrears clear. N.Y. Real Prop. Law §339-kk (c)
- The tenant cannot be evicted for paying the building instead of the delinquent landlord — the statute makes that payment bulletproof. N.Y. Real Prop. Law §339-kk (e)
- In a New York condo foreclosure the bank's first mortgage gets paid before the building's lien — there is no carve-out of months of charges like Connecticut's or Florida's. N.Y. Real Prop. Law §339-z
Disclosure (2)
- Before closing, buyer or seller can demand a payoff statement from the condo board — and the number on that statement is binding. It is the nearest thing New York has to an estoppel letter. N.Y. Real Prop. Law §339-z
- Developers cannot sell New York condos or co-op shares to the public until the Attorney General has an offering plan on file. N.Y. Gen. Bus. Law §352-e 1(a)
Records (4)
- Owners can inspect the building's books and the vouchers behind every payment during weekday hours. N.Y. Real Prop. Law §339-w
- Every owner gets a written financial summary at least once a year. N.Y. Real Prop. Law §339-w
- A co-op shareholder can see the shareholder minutes and the share register five days after asking in writing. N.Y. Bus. Corp. Law §624 (b)
- Every co-op shareholder is entitled to the corporation's annual balance sheet and P&L on request. N.Y. Bus. Corp. Law §624 (e)
Enforcement (3)
- A condo owner gets a 90-day large-print warning — with the exact payoff amount — before the building can start foreclosure. N.Y. Real Prop. Law §339-aa
- A chronic rule-breaker can be made to post a bond guaranteeing future compliance. N.Y. Real Prop. Law §339-j
- By-law compliance in a New York condo is a legal duty the board — or even a neighbor — can enforce in court. N.Y. Real Prop. Law §339-j
Compliance (2)
- Turning a rental building into a co-op or condo in NYC runs through the Attorney General's Martin Act filing process. N.Y. Gen. Bus. Law §352-eeee 1(a)
- A conversion plan that skips the tenant protections does not get filed — the Attorney General is required to refuse it. N.Y. Gen. Bus. Law §352-eeee 2

Applicable Statutes
All New York authorities →
BCL — Authorized Shares; Co-op Equal-Treatment Proviso
The share-equality section of the Business Corporation Law, which governs housing cooperatives (co-op residents are shareholders holding proprietary leases, not real-property owners). Every share of a class must be equal — but subdivision (c) carves out cooperative housing corporations: when liquidation rights are substantially equal per share, maintenance charges are fixed per share or per room, and voting is substantially equal (or one vote per apartment), shares are not unequal merely because transfer fees vary — the proviso that permits co-op flip taxes set in the proprietary lease, occupancy agreement, or offering plan.
BCL — Notice of Meetings of Shareholders
Shareholder meeting notice for corporations — including housing cooperatives, whose annual and special shareholder meetings run under the Business Corporation Law rather than the Condominium Act. Written or electronic notice of the place, date, and hour must be given not fewer than ten nor more than sixty days before the meeting (twenty-four to sixty days when sent by third-class mail), and special-meeting notices must state the purpose.
BCL — Books and Records; Right of Inspection
The corporate records-inspection section that governs housing cooperatives. On at least five days' written demand, a shareholder may examine the minutes of shareholder proceedings and the record of shareholders — in person or by agent or attorney, during usual business hours, for any purpose reasonably related to the shareholder's interest. On written request the corporation must also give or mail the shareholder its annual balance sheet and profit and loss statement. Case law layers a broader common-law inspection right (good faith, proper purpose) on top of the statute.
BCL — Duty of Directors
The director-duty standard for corporations, including housing cooperative boards: good faith and the care an ordinarily prudent person in a like position would use under similar circumstances. This is the statutory floor under co-op board conduct; New York case law (Levandusky v. One Fifth Avenue Apartment Corp.) applies business-judgment-rule deference to board decisions made in good faith within the board's authority.
Martin Act — Real Estate Syndication Offerings
The Martin Act offering-plan section (official heading: "Real estate syndication offerings"). Publicly offering or selling participation interests in real estate — expressly including cooperative interests in realty, and in practice every new-construction condominium and cooperative offering in New York — is illegal until an offering statement or prospectus is filed with the Department of Law (the Attorney General). This filing regime, not a resale-certificate statute, is where New York puts mandatory disclosure for condo and co-op purchases; the Attorney General's regulations govern the plan's contents and amendments.
Martin Act — Conversions to Co-op or Condo Ownership (NYC)
The New York City conversion statute: converting a rental building to cooperative or condominium ownership requires an offering plan filed under §352-e, and the Attorney General must refuse to accept a conversion plan unless it satisfies this section's tenant-protection requirements (non-eviction plan rules, purchase-percentage thresholds, senior and disabled tenant protections). Applies to conversions in the city of New York; the parallel §352-eee covers certain other municipalities.
Condominium Act — Lien Duration; Foreclosure
Perfection and enforcement of the §339-z lien. The lien takes effect on filing a verified notice of lien with the recording officer and lasts until paid or six years from filing, whichever comes first; any board member may file it once charges are 60 days past due. Foreclosure proceeds by suit in like manner as a mortgage under RPAPL Article 13 — judicial — and the board must give the unit owner written notice in fourteen-point type at least ninety days before commencing. The by-laws may impose a reasonable rental pending sale (with a receiver to collect it), the board may bid in the unit at the sale, and a money-judgment suit may run alongside foreclosure without waiving the lien.
Condominium Act — Short Title
The short-title section of Article 9-B of the Real Property Law, cited as the "condominium act" — the statute governing New York condominiums. Definitions follow in §339-e. New York condominiums are governed by Article 9-B plus their declaration and by-laws; housing cooperatives are NOT governed by this article — they are corporations under the Business Corporation Law whose residents hold shares and proprietary leases.
Condominium Act — Compliance with By-laws and Rules
The compliance-and-enforcement section: every unit owner must comply strictly with the by-laws and the rules, regulations, resolutions, and decisions adopted under them. The board of managers (or an aggrieved owner in a proper case) may sue for sums due, damages, or injunctive relief, and may require a flagrant or repeat violator to post surety for future compliance. Displaying a United States flag of four by six feet or less can never be the basis for an action.
Condominium Act — Rents
The rent-diversion section (NOT a resale-disclosure statute): when a non-occupying owner rents out a unit and falls 60 days past any grace period on common charges, assessments, or late fees, the board may direct the tenant — by written notice to both tenant and owner — to pay rent straight to the condominium association until the account is current. A board majority elected by resident owners may choose not to invoke it. Tenant payments to the association are an absolute defense against the owner's nonpayment proceeding, and the owner may dispute the claim at a board meeting held within 30 days.
Condominium Act — Contents of By-laws
The by-laws requirements section — where New York puts the board-of-managers machinery. The by-laws must provide for the nomination and election of a board of managers with at least one-third of terms expiring annually, the board's powers and duties and compensation, the removal method for board members, and whether a manager or managing agent may be engaged and which board powers may be delegated. Operation of the property, maintenance and repair rules, common-charge collection method, and hearing procedures also live in the by-laws under this section.
Condominium Act — Books of Receipts and Expenditures
The condominium records section. The manager or board must keep detailed, accurate, chronological records of receipts and expenditures, with the authorizing vouchers, available for examination by unit owners at convenient weekday hours — and must render a written annual summary report to all unit owners. This is the whole statutory records regime for New York condominiums; there is no statutory fee cap, response deadline, or document-request procedure beyond it.
Condominium Act — Lien for Common Charges; Priority
The common-charges lien. The board holds a lien on each unit for unpaid common charges with interest — but unlike Connecticut or Florida, New York gives it NO super-priority: the lien is subordinate to real-property tax liens, ALL sums unpaid on a first mortgage of record, and certain public-agency subordinate mortgages (an exclusive nonresidential condominium may opt into priority over mortgages by declaration). The section also contains New York's closest analog to an estoppel certificate: a grantor or grantee is entitled to a statement of unpaid common charges from the board, and neither is liable — nor is the unit encumbered — beyond the amount that statement discloses.

Download the New York HOA & Condo Compliance Checklist
One PDF — every active New York statute we track, statutory fee caps and time limits, recent legal changes from the last 12 months, and the resale-certificate disclosure profile. Built from CommunityPay's living legal corpus, the same data that drives our resale certificates, reserve reports, and CARI scoring.
- Statutory fee caps and time limits (resale, late fees, lien priority)
- Recent law changes with effective dates
- Resale & estoppel disclosure profile, item by item
No spam. CommunityPay uses your email to send the checklist and one follow-up at most.
