Alabama Nonprofit Corporation Law — Notice of Members' Meetings
Unless the governing documents provide otherwise, notice stating the place (if any), day, and hour of the meeting — and, for a special meeting, the purpose or purposes for which it is called — must be delivered not less than 10 nor more than 60 days before the meeting, by or at the direction of the president, the secretary, or the officers or persons calling the meeting, to each member entitled to vote. Where the board has authorized participation by remote communication under §10A-3A-2.02(d), (e), and (f), the notice must describe the means of remote communication to be used. This section governs HOA meeting notice because the Alabama HOA Act (§35-20-5) requires HOAs to organize as nonprofit corporations under Chapter 3 of Title 10A.
Section 10A-3-2.03 Notice of Members’ Meetings. Unless otherwise provided in the nonprofit corporation’s governing documents, notice stating the place, if any, day, and hour of the meeting and, in case of a special meeting, the purpose or purposes for which the meeting is called, shall be delivered not less than 10 nor more than 60 days before the date of the meeting, by or at the direction of the president, or the secretary, or the officers or persons calling the meeting, to each member entitled to vote at the meeting. If the board of directors has authorized participation by means of remote communication pursuant to Section 10A-3A-2.02(d), (e), and (f), the notice to the members must describe the means of remote communication to be used.
